1. Agreement to Terms

By accessing, registering for, or using the Micro-Sponsor platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Nature of the Platform (Venue Only)

• Neutral Intermediary: The Service serves solely as a marketplace to connect entities wishing to buy advertising space ("Sponsors") with newsletter creators wishing to sell advertising space ("Creators"). Micro-Sponsor is not an advertising agency, publisher, or representative of either party.
• No Endorsement: We do not endorse any Sponsor, Creator, product, service, opinion, or newsletter content. The appearance of a profile or listing on our Service implies no verification of credentials or performance.
• Independent Relationship: You agree that your relationship with other users is solely between you and them. Micro-Sponsor is not responsible for the performance, delivery, quality, or payment of any sponsorship campaign arranged through the Service.

3. Assumption of Risk & Release

You knowingly and freely assume all risks when using the Service. You are solely responsible for your interactions with other users. You acknowledge that Micro-Sponsor does not conduct criminal background checks or verify the statements of its users.

By using the Service, you hereby release Micro-Sponsor and its officers, directors, employees, and agents from any and all claims, demands, damages (actual and consequential), losses, and liabilities of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and other users or the services/products provided by other users.

4. Limitation of Liability

To the maximum extent permitted by law, in no event shall Micro-Sponsor be liable for:

• Indirect, punitive, incidental, special, consequential, or exemplary damages.
• Damages for loss of profits, goodwill, use, data, or other intangible losses.
• Errors, mistakes, or inaccuracies of content.
• Any unauthorized access to or use of our secure servers and/or any personal information stored therein.
• Any bugs, viruses, or malicious code transmitted to or through our Service.

In no event shall Micro-Sponsor's total liability to you for all claims exceed the amount you have paid to Micro-Sponsor in the last six (6) months, or one hundred U.S. dollars ($100.00), whichever is greater.

5. Indemnification

You agree to defend, indemnify, and hold harmless Micro-Sponsor and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

6. Payment & Fees

If the Service facilitates payments, it does so merely as a data processor for third-party payment providers (e.g., Stripe). We are not a bank or financial institution. We are not responsible for any failed transactions, "chargebacks," or funds holding by payment processors. All financial obligations are strictly between the Sponsor and the Creator.

7. No Warranty (Disclaimer)

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MICRO-SPONSOR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
